These Hardware Procurement Terms apply when Digitronix Advanced Digital Technology Solutions LLC-FZ ("Digitronix", "we", "us") quotes or supplies business IT hardware, such as laptops, desktops, mini PCs, printers, networking equipment and related equipment, to a client ("you"). They are read together with our Terms of Business and the applicable quotation.
Nothing in these terms limits any mandatory statutory rights that apply to you, including consumer rights where you are a consumer.
These terms apply to quotations and orders for business IT hardware supplied by us. Nothing in this document excludes or limits any right you have under mandatory UAE law.
1. Quotations
Hardware is supplied by written quotation; there are no fixed prices on our website. A quotation sets out the equipment, specification, brand and model where available, quantity, pricing, any deployment services, warranty terms, delivery expectations and optional services.
A quotation is valid for the period stated in it. Supplier prices and availability can change, so a quotation that has expired may need to be re-issued.
2. Stock and availability
Stock and availability depend on our suppliers and are confirmed with the supplier when you approve an order. We do not reserve stock for you until you have approved the quotation, any required payment has been made and the supplier has confirmed. If an item becomes unavailable, we will tell you and offer options; we will not substitute a brand or model without your approval.
3. Pricing and VAT
Prices are exclusive of VAT unless stated otherwise. VAT is charged where legally applicable. If a supplier changes its price before the order is placed, we will tell you before proceeding, and we will not apply a change to an order you have already approved and we have placed unless the quotation allows it.
We will issue dated invoices that set out our details, the goods supplied, quantities, prices and the other information required by applicable law.
4. Payment and when we order
Payment terms, including any deposit or prepayment, are set out in the quotation. We begin procurement only after you have formally approved the quotation, the required payment or deposit has been received (or credit terms have been agreed in writing), the supplier has reconfirmed stock, and the final specification and delivery details are confirmed.
5. Specification and changes
The brand, model and specification stated in the approved quotation are what we will supply. Any change of brand, model or specification needs your approval, and may change the price and lead time.
6. Delivery
Delivery estimates are given in good faith and depend on supplier availability and on you giving accurate delivery details and access. We will tell you promptly if we expect a delay and give a revised estimate.
Delivery dates are estimates and not guaranteed unless the quotation expressly states otherwise.
7. Inspection on receipt and damage
Please inspect the goods when they arrive and tell us in writing about any visible damage, shortage or difference from the order as soon as reasonably possible, and keep the packaging. Where relevant, record serial numbers; we will provide serial numbers where the supplier makes them available.
8. Warranty
Warranty is provided by the manufacturer or distributor, on their terms. The warranty period and conditions depend on the quoted product and are confirmed in the quotation before you approve. We do not add a warranty of our own unless the quotation says so.
If a product is dead on arrival or becomes faulty during its warranty, tell us and we will help you with the manufacturer's or distributor's process. A dead-on-arrival process, where one applies, is subject to the manufacturer's or distributor's rules and time limits.
9. Returns
Whether goods can be returned depends on applicable law, the supplier's terms, the condition of the product, and whether the order was a custom or special order. Not all hardware is returnable, and not all hardware is non-returnable.
- Special orders and custom configured equipment may not be returnable or may be returnable only on supplier terms.
- Opened equipment may be subject to the supplier's or manufacturer's conditions.
- A restocking or similar charge applies only where it is stated in the quotation or by the supplier and is legally permitted.
- Faulty or defective products are handled according to applicable law and the warranty terms.

10. Configuration, deployment and data migration
Configuration, deployment and data migration are provided only if included in the quotation, and are described there. You are responsible for having the licences needed for software you ask us to install, and we do not install unlicensed software. Please keep your own backups before any data migration.
11. Risk and title
Risk in the goods passes to you on delivery. Title to the goods passes to you when we have received payment in full, unless the quotation says otherwise.
12. Supplier dependency
We source hardware from third-party suppliers. Supply, lead times and pricing depend on them, and we are not responsible for delays or shortages outside our reasonable control.
13. Force majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including supplier or logistics disruption. We will tell you promptly and take reasonable steps to limit the effect.
14. AMC and hardware replacement
Hardware you buy through us, or already own, can be added to an AMC. Replacement hardware is not automatically included in an AMC; it is covered only where the AMC agreement or quotation says so.
15. Statutory rights
Nothing in these terms limits mandatory statutory rights that apply to you, including consumer rights and remedies for faulty or defective products where applicable.
